Independent Writer Agreement

1.1 Independent Contractor Status: Writer is engaged as an independent contractor, not an employee, partner, or agent of Prime Writers Hub. Writer retains full control over the manner and means of performing services.

1.2 Tax and Business Responsibilities: Writer is solely responsible for all federal, state, and local taxes, including self-employment taxes, insurance, business licenses, and other business expenses related to services performed.

1.3 No Employment Benefits: Writer is not eligible for any employee benefits including but not limited to health insurance, retirement plans, workers' compensation, unemployment insurance, or paid time off.

1.4 Business Independence: Writer may maintain other clients, business activities, and professional engagements outside this platform, provided they do not conflict with platform obligations.

2.1 Service Provision: Writer agrees to provide professional writing services through the platform in accordance with client requirements, project specifications, and platform operating guidelines.

2.2 Quality and Originality Standards: All delivered work must meet platform quality standards, be 100% original content, plagiarism-free, thoroughly researched, and delivered by mutually agreed deadlines.

2.3 Professional Conduct and Communication: Writer will maintain professional, respectful, and timely communication with clients and platform staff throughout project lifecycles.

2.4 Continuous Improvement: Writer agrees to incorporate client feedback, participate in quality improvement initiatives, and maintain current knowledge in their writing specialties.

3.1 Payment Terms and Schedule: Writer will be compensated according to pre-agreed rates for completed, approved, and delivered work. Payments are processed according to the platform's published payment schedule (weekly or bi-weekly).

3.2 Platform Fee Structure: A platform commission of 15-25% applies to all completed orders, varying based on writer tier, order complexity, and client relationship status.

3.3 Tax Reporting and Compliance: Writer bears full responsibility for all income taxes, self-employment taxes, and other tax obligations related to platform earnings. Platform will issue appropriate tax forms (e.g., Form 1099) when required by law.

3.4 Payment Disputes and Resolution: Payment disputes must be submitted through official platform channels within 14 days of payment processing. Platform will mediate disputes fairly based on service delivery evidence.

4.1 Work Product Ownership: Upon full payment by client, all copyright and intellectual property rights to delivered work automatically transfer to the client. Writer explicitly waives any moral rights to the work.

4.2 Portfolio and Marketing Rights: Writer may include anonymized or redacted versions of completed work in their professional portfolio, subject to client confidentiality requirements and platform approval.

4.3 Platform License Grant: Writer grants platform a limited, worldwide license to use their profile information, performance metrics, and success stories for platform operations, marketing, and business development purposes.

4.4 Pre-existing Intellectual Property: Writer retains full rights to any pre-existing intellectual property, provided it is not incorporated into client deliverables without appropriate licensing.

5.1 Client and Platform Confidentiality: Writer will not disclose, share, or distribute any client information, order details, platform proprietary information, or trade secrets to third parties.

5.2 Non-Circumvention Agreement: Writer will not attempt to contact clients outside the platform, arrange direct payments, or engage in any activities that bypass platform systems and procedures.

5.3 Data Protection Compliance: Writer will comply with all applicable data protection laws, platform privacy policies, and information security protocols when handling client data and platform information.

5.4 Confidentiality Survival: Confidentiality obligations survive termination of this agreement and remain in effect for three years following contract conclusion.

6.1 Agreement Duration: This agreement remains in full effect while writer maintains an active, in-good-standing account on the Prime Writers Hub platform.

6.2 Mutual Termination Rights: Either party may terminate this agreement with 30 days written notice, provided all active orders are completed and outstanding payments settled.

6.3 Immediate Termination Grounds: Platform may terminate this agreement immediately for material breach, including but not limited to: violation of platform terms, fraudulent activity, consistent quality issues, or legal compliance failures.

6.4 Post-Termination Obligations: Following termination, writer remains responsible for completing active orders, maintaining confidentiality, and settling any outstanding financial obligations.

7.1 Work Quality Warranty: Writer warrants that all delivered work is original, does not infringe any third-party copyrights or intellectual property rights, and meets all specified order requirements and quality standards.

7.2 Limitation of Liability: Platform's total liability for any claims arising from this agreement is limited to the amount paid to writer for the specific work giving rise to the dispute.

7.3 Mutual Indemnification: Writer agrees to indemnify and hold harmless Prime Writers Hub against any claims, damages, or losses arising from their work, conduct, or breach of this agreement.

7.4 No Consequential Damages: Neither party shall be liable for any indirect, special, incidental, or consequential damages arising from this agreement or platform usage.

8.1 Governing Law and Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

8.2 Dispute Resolution Process: Any disputes arising from this agreement shall be resolved through binding arbitration in New York, NY, in accordance with the American Arbitration Association rules.

8.3 Entire Agreement Clause: This document constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements related to the subject matter.

8.4 Modification and Amendments: This agreement may only be modified through written amendment signed by both parties or through updated platform terms with proper notice to writer.

8.5 Severability: If any provision of this agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
